Proxy Ownership provides beneficial ownership as disclosed in a US company’s proxy statement: who holds the shares, how many, and what percentage. Each observation is one owner on the company’s latest proxy. This dataset answers who owns the company now; it is not an ownership history.

What You Can Use Proxy Ownership For

See a company’s largest declared holders and its insider stakes side by side, as the company itself presented them. Check whether an institution’s 13F position crosses the 5% disclosure threshold. Measure aggregate insider ownership from the group line the company printed.

Proxy Ownership Coverage

Coverage is US companies that file a DEF 14A proxy statement. The latest proxy per company is served; earlier proxies are not retained as a series.

The Three Proxy Owner Kinds

owner_kind takes one of three values. insider is an individual officer or director. insider_group is the “all directors and executive officers as a group” line the proxy prints. major_holder is a holder of 5% or more.
Do not sum rows across owner kinds. The insider_group line already contains the individual insiders, so adding the two double-counts every insider stake.

Key Proxy Ownership Fields

owner_name, owner_role and owner_kind identify the holder. security_class names the class held. shares_owned and percent size the holding, on a 0-to-100 scale. is_group flags the aggregate line. percent_source says whether the percentage was disclosed by the company or computed from the share count. confidence grades the extraction.
Check percent_source and confidence before quoting a percentage as the company’s own figure. A computed percentage is FocusAlpha’s arithmetic, not the company’s disclosure.

Proxy Ownership Date Convention

Rows describe ownership as of the record date of the company’s latest proxy statement, which is typically a few weeks before the annual meeting and can be several months old at the time of reading. Because only the latest proxy is served, the effective date moves when the company files a new one.

Proxy Ownership Sources

Rows are read from the beneficial ownership table of the company’s own DEF 14A filing on SEC EDGAR. Percentages are the company’s where percent_source says so, and computed by FocusAlpha otherwise.
